DEVELOPER LICENSE AGREEMENT

开发者授权协议

This Developer License Agreement (“Agreement”) is a binding contract between SigmaStar Technology Ltd. (“SigmaStar”) and the individual or type of Person intending to download, install or otherwise use Licensed Item (“Licensee”).

本开发者授权协议(「本协议」)为星宸科技股份有限公司(「SigmaStar」)与欲下载、安装或以任何其它方式使用「授权标的」之个人或其它型态之「个体」(「被授权人」)之间的有拘束力合同。

SIGMASTAR PROVIDES LICENSED ITEM SOLELY ON THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND ON THE CONDITION THAT LICENSEE ACCEPTS AND COMPLIES WITH THEM. BY CLICKING THE “ACCEPT” BUTTON BELOW, AND/OR BY DOWNLOADING, INSTALLING OR OTHERWISE USING LICENSED ITEM, LICENSEE (A) ACCEPTS THIS AGREEMENT AND AGREES THAT LICENSEE IS LEGALLY BOUND BY ITS TERMS; AND (B) REPRESENTS AND WARRANTS THAT: (I) IF AN INDIVIDUAL, LICENSEE IS 18 YEARS OF AGE OR OLDER; AND (II) LICENSEE HAS THE RIGHT, POWER AND AUTHORITY TO ENTER INTO THIS AGREEMENT AND BIND LICENSEE TO ITS TERMS. IF LICENSEE DOES NOT AGREE TO THE TERMS OF THIS AGREEMENT, SIGMASTAR WILL NOT AND DOES NOT GRANT ANY LICENSE RELATING TO LICENSED ITEM TO LICENSEE AND LICENSEE MUST NOT DOWNLOAD, INSTALL OR USE LICENSED ITEM.

SIGMASTAR仅基于本协议之条件提供「授权标的」，SIGMASTAR提供「授权标的」并以「被授权人」同意及遵守本协议之规定为前提。「被授权人」按下如下“同意键”或下载、安装或或以任何其它方式使用「授权标的」之行为，视为「被授权人」：(A) 同意本协议之规定并同意本协议对「被授权人」具有法律拘束力；及(B)声明及保证：(I) 如「被授权人」为个人，「被授权人」已年满18岁；及 (II) 「被授权人」具有完整的权利、权力及授权以缔结本协议及使本协议对于「被授权人」具有拘束力。如「被授权人」不同意本协议之条件，SIGMASTAR将不会亦不同意授予「被授权人」任何关于「授权标的」之授权，「被授权人」不得下载、安装或以任何方式使用「授权标的」。

1.Definitions. For purposes of this Agreement, the following terms have the following meanings:

定义: 本协议中之下列名词依以下之定义：

1.1 “Intellectual Property Rights” means any and all intellectual property or proprietary rights throughout the world, including, but not limited to, all patent rights (including patent applications and disclosures), registered and unregistered copyrights (including rights in software, including in source code and object code), registered and unregistered trademark rights, and trade secrets.

「知识产权」系指世界各地之任何及全部知识财产或专有权利，包括但不限于专利权(包含专利申请权及披露权)、已登记及未登记之著作权(包含于软件源代码及目标码之权利)、已登记及未登记之商标权及商业秘密。

1.2 “Licensed Item” means the software, documentation, and other material, and any updates, upgrades, enhancements, improvements, and any other adaptations or modifications thereto which is published by SigmaStar on COMAKE developer website (“Website”) and downloadable by Licensee as a developer member of Website.

「授权标的」系指由SigmaStar发布于COMAKE开发者网站(以下简称「本网站」)而可由「被授权人」以「本网站」开发者会员身份所下载之任何软件、文檔及其它材料以及前述之任何更新、升级、改善、改良及任何其它调整或修改。

1.3  “Person” means an individual, corporation, partnership, joint venture, limited liability company, governmental authority, unincorporated organization, trust, association or other entity.

「个体」系指个人、公司、合伙企业、合资企业、有限责任公司、政府单位、非法人团体、信托企业、协会或其它实体。

1.4  “Third Party” means any Person other than Licensee or SigmaStar.

「第三方」系指「被授权人」或SigmaStar以外之「个体」。

2. Grant of Right

授权

2.1    Subject to the terms and conditions of this Agreement, SigmaStar hereby grants to Licensee a non-exclusive, non-transferable, non-sublicense license to use Licensed Item solely for the purpose of integrating SigmaStar’s product with Licensee’s product(s) and for no other purpose.

于遵循本协议规定之前提下，SigmaStar兹此同意授予「被授权人」一非独家、不可转让、不可转授权之许可而使「被授权人」可以使用「授权标的」。前述授权仅限为了整合SigmaStar的产品于「被授权人」之产品中的目的而使用，「被授权人」不得为了其它任何目的而使用「授权标的」。

2.2     In addition to the license granted by SigmaStar in accordance with Section 2.1, Licensee is permitted to deploy and distribute, in binary form only, the software included in the Licensed Item as part of Licensee’s product which incorporates SigmaStar’s product to Licensee’s customer who has concluded this Agreement with SigmaStar.

除第2.1条之授权外，「被授权人」并可将「授权标的」中之软件以目标码形式(并仅限以目标码形式)整合于「被授权人」之产品中对外交付，但该「被授权人」之产品中需同时整合有SigmaStar的产品，且收受该「被授权人」产品之「被授权人」客户在收受前需已与SigmaStar缔结本协议。

2.3     Licensee may only make necessary copies of Licensed Item as are reasonably necessary for its own internal use and the license granted under this Agreement shall apply to all such copies.  In no event shall the amount of said copies exceed reasonable copies. All copies of Licensed Item shall contain all copyright or proprietary notices appearing on or in such Licensed Item.

「被授权人」得为了其内部合理使用需求而复制合理数量之「授权标的」，本协议之条件亦应适用于该等复本。于任何情况下「被授权人」均不得复制超过合理数量的复本。所有「授权标的」之复本均应保留原本存于或附加于「授权标的」之著作权或专有权标志。

2.4    All rights granted to Licensee hereunder are subject to Licensee’s continued compliance with the terms, conditions and restrictions contained in this Agreement.

本协议下所授予之权利均以「被授权人」持续遵守本协议之条款、条件及限制为有效前提。

3. Third Party Item

第三方物件

Licensed Item may include software, documentation, content, data or other materials that are owned by Third Party and that are provided to Licensee on terms that are in addition to and/or different from those contained in this Agreement (“Third-Party Licenses”). The license granted hereunder and Licensee’s use of Licensed Item is subject to such Third Party Licenses, if any. Licensee is bound by and shall comply with all Third-Party Licenses. Any breach by Licensee of any Third-Party License is also a breach of this Agreement. Licensee expressly acknowledges that it is Licensee’s sole responsibility to obtain from any Third Party all proper licenses contained in Licensed Item. SIGMASTAR HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, TO THE EXTENT PERMITTED BY APPLICABLE LAWS, WITH RESPECT TO ANY THIRD PARTY ITEM. SPECIAL NOTE: BEFORE THE LICENSEE BECOMES A MENBER INCLUDING BUT NOT LIMITED TO HDMI, DOLBY HDCP, IT IS NOT ALLOWED TO OBTAIN THE LICENSED ITEM WHICH INCLUDING THEIR TECHNOLOGIES.

「授权标的」可能包含第三方所拥有之软件、文件、内容、数据或其它材料，该等第三方软件、文件、内容、资料或材料系依据额外或不同于本协议之条件而提供予「被授权人」(「第三方授权规定」)。如有前述情形，本协议下所授予「被授权人」之关于使用「授权标的」的权利，应亦受该「第三方授权规定」之规范，「被授权人」应受「第三方授权规定」之拘束并应遵守「第三方授权规定」，任何违反「第三方授权规定」之行为应视为违反本协议之行为。「被授权人」兹此明示确认「被授权人」应自行负责向第三方取得「授权标的」中所含第三方物件之有关许可。在法令许可的最大范围内，SIGMASTAR兹此明示否认对于任何第三方对象提供任何明示的、默示的、成文法的或任何其它形式的保证。特别提示：在「被授权人」成为包括但不限于HDMI、Dolby、HDCP等会员前，不得获得包含HDMI、Dolby、HDCP等技术的「授权标的」。

4. Restriction of Use

使用限制

Except as specifically permitted under Section 2, Licensee acknowledges that the scope of the licenses granted hereunder does NOT permit Licensee to:

除第2条所明确许可者外，「被授权人」确认了解本协议下之授权不允许「被授权人」为下列行为：

4.1     alter, modify, adapt or translate the whole or any part of Licensed Item;

就「授权标的」之全部或一部进行改变、修改、调整或改作；

4.2    decompile, disassemble, reverse engineer or create any derivative work from Licensed Item, or otherwise attempt to derive the source code;

对「授权标的」进行解译、拆解、逆向工程或产制其衍生物或者以任何其它方式试图导出其源代码；

4.3     in any way sell, lease, rent, license, sublicense or otherwise distribute the Licensed Item;

以任何方式销售、出租、授权、转授权或散布「授权标的」；

4.4     remove, alter, conceal or otherwise interfere with any proprietary notice attached to or incorporated in Licensed Item;

移除、改变、隐藏或以任何方式阻遮原本存于或附加于「授权标的」之著作权或专有权标志；

4.5   use Licensed Item to participate in any illegal, deceptive, misleading or unethical practices including, but not limited to, disparagement of Licensed Item or SigmaStar;

使用「授权标的」从事任何非法、诈欺、误导或不道德之行为，包括但不限于用以贬损「授权标的」或SigmaStar；

4.6    let Licensed Item be accessed or used by Third Party or anyone other than Licensee’s employees whose duties require such access or use; or

使任何「第三方」或无职务相关性之「被授权人」员工接触或使用「授权标的」；或

4.7      use Licensed Item in violation of any domestic or foreign law, regulation or rule.

使用「授权标的」从事任何违反法令之行为。

In addition, Licensee shall not cause any portion of Licensed Item to be subject to the licensing terms applicable to Open Source Software unless it is already an Open Source Software when SigmaStar provides it as part of Licensed Item.  For the purpose of this Agreement, “Open Source Software” means any software or software component, module or package that is subject to the license that requires the software (in whole or in part) be disclosed or distributed in source code form, licensed for the making of derivative works, freely redistributable or cannot be licensed under proprietary terms, including, without limitation, the GNU’s General Public License (GPL) or Lesser GPL (LGPL).

此外，「被授权人」不得使「授权标的」的任何部份受「开源软件」授权条款之拘束，但SigmaStar提供的「授权标的」本身即为「开源软件」者不在此限。本协议下所称「开源软件」系指任何软件或软件组件、软件模块或软件包，根据其授权条款规定(包括但不限于GNU的GPL或LGPL授权条款)，其于对外披露或交付时需以源代码形式进行披露或交付、需允许接受方制作衍生物、需允许收受方继续自由散布、或不得转变为以私有条款对外授权。

5. Ownership

所有权

5.1    SigmaStar shall retain any and all right, ownership and interest of Licensed Item (including any modification thereto) and all Intellectual Property Rights arising out of or relating to Licensed Item.  Licensee shall take no action that is inconsistent with the right, ownership and interest of SigmaStar.  No ownership, interest or right therein is transferred to Licensee under this Agreement or by way of SigmaStar’s performance of this Agreement.

SigmaStar保留「授权标的」(包括对「授权标的」之任何修改)之任何及全部的权利、所有权及利益及其所生之有关「知识产权」。「被授权人」不应进行任何与SigmaStar权利、所有权及利益相冲突之行为。SigmaStar未因本协议或履行本协议之行为转让任何权利、所有权及利益予「被授权人」。

5.2     To the extent that any modifications are made, Licensee assigns, and will cause to assign, to SigmaStar such modifications and all associated Intellectual Property Rights thereto, subject to the license to Licensee in Section 2 (Grant of Right). In addition, Licensee grants to SigmaStar the right and license to make, use, sell, reproduce, modify, sublicense, disclose, distribute and otherwise exploit any error reports, corrections and suggestions created or provided by Licensee concerning Licensed Item or any modifications based thereon. Licensee shall, perform such acts, and execute and deliver such instruments and documents, and do all other things as may be reasonably necessary to evidence or perfect the rights of SigmaStar set forth in this Section 5.

如「被授权人」就「授权标的」进行任何修改，「被授权人」应将该修改物及有关「知识产权」转让予SigmaStar，但SigmaStar将依第2条之规定授权予「被授权人」。此外，「被授权人」如就「授权标的」或其修改物向SigmaStar提出任何错误报告、改正及建议，「被授权人」同意许可SigmaStar使用、销售、重制、修改、转授权、披露、散布或利用该错误报告、改正及建议。「被授权人」应采取任何合理需要的行为及签署及交付必要的指令及文件以使SigmaStar得完整取得本第5条所述之权利。

5.3    Licensee shall safeguard all Licensed Item from infringement, misappropriation, theft, misuse, or unauthorized access, promptly notify SigmaStar if Licensee becomes aware of any of foregoing, and reasonably cooperate with SigmaStar in any legal action taken by SigmaStar to enforce its Intellectual Property Rights.

「被授权人」应保护「授权标的」以避免「授权标的」受到侵害、侵占、盗窃、滥用或未受许可之接触，并于知悉前述情事时立即通知SigmaStar及合理配合SigmaStar采取有关法律行动以执行其「知识产权」。

6. Confidentiality

保密义务

6.1    Confidential information means any information disclosed by SigmaStar pursuant to this Agreement, whether in oral, written, or other tangible or intangible form, that is identified as proprietary or confidential at the time of disclosure or provided under circumstances that reasonably indicate that the information is proprietary or confidential (“Confidential Information”). For the avoidance of doubt, Licensed Item shall be deemed as Confidential Information.

「保密信息」系指SigmaStar依本协议所披露的任何信息，该信息于披露时已经指明为机密或专有或依披露之情状一般均会合理认知该信息是属于机密或专有的，无论前述披露是以口头、书面或其它有形或无形方式所为。为避免疑义，「授权标的」应被视为「保密信息」。

6.2    Licensee shall keep all Confidential Information in strict confidence and shall not disclose such Confidential Information to any Third Party unless otherwise provided herein.  Without limiting the foregoing, Licensee shall use at least the same degree of care which it uses to prevent the disclosure of its own confidential information of like importance to prevent the disclosure of Confidential Information, but in no event less than reasonable degree of care.

「被授权人」应就「保密信息」予以保密，除本协议另有约定外，不得披露予任何「第三方」。此外，「被授权人」至少应以其保护自身机密信息之注意程度防止外流「保密信息」，但无论如何不得低于善良管理人之注意义务。

6.3     Unless otherwise set forth herein, Licensee may disclose Confidential Information only to its employees who are required to have such information in order for Licensee to carry out the purpose contemplated by this Agreement and who have signed agreements with confidentiality terms at least as restrictive as Licensee’s obligations under this Section 6.  Licensee acknowledges that it shall be responsible to SigmaStar for all breaches of this confidentiality obligation under this Agreement caused by its employees. Licensee shall notify SigmaStar of any unauthorized use or disclosure, whether actual or suspected.

除本协议另有约定外，「被授权人」仅得将「保密信息」披露给因执行本协议而有必要使用「保密信息」的员工，该等「被授权人」员工并应于「被授权人」签有不低于本协议保密义务程度之保密合同。「被授权人」了解并同意其应就其员工违反本保密义务之行为负责。「被授权人」发现任何实际或可能的非法使用或非法披露行为时应立即通知SigmaStar。

6.4    Licensee acknowledges that due to the unique nature of the Confidential Information, any breach of the restrictions contained in this Section 6 is a material breach of this Agreement which would cause irreparable harm and SigmaStar would not have an adequate remedy in money or damages in such an event.  Any such breach shall entitle SigmaStar to obtain injunctive relief in addition to all remedies that may be available in law, in equity or otherwise.

「被授权人」了解，由于「保密信息」的独特本质，如果违反本第6条之保密义务，将导致SigmaStar遭受难以回复的金钱或其它损失，因此针对此等违反行为，SigmaStar有权依据有关法律、衡平法或其它规则寻求禁止令或紧急处分。

6.5   On receipt of Confidential Information the Licensee shall: 1）Use the Confidential Information, supplied under the terms of this Agreement, only for the purpose described above; 2）Hold the Confidential Information confidential to itself and restrict access to such Confidential Information to its employees who need to know it.  For the purposes of this Agreement, an employee shall also include independent contractor. Licensee acknowledges that it shall be responsible to SigmaStar for all breaches of this Agreement caused by its employees; 3）Not disclose the Confidential Information, the existence and any terms and conditions of this Agreement to any third party or use for the benefit of any third party without the prior written consent of the SigmaStar; 4）Ensure that any employees of the Licensee or any third party to whom the Confidential Information is disclosed shall treat the Confidential Information in all respects according to the terms of this Agreement；5）Licensee shall not reverse engineer, disassemble or decompile any prototypes, software or other tangible objects which embody the SigmaStar’s Confidential Information and which are provided to the Licensee hereunder.

「机密信息」为软件源代码者，「被授权人」并应遵守下列规定：1）于任何情形下，「被授权人」均不得将软件源代码披露予任何第三人，并应采取等同于其对待自身最高机密之保密措施，以维持其机密性；2）「被授权人」仅得将SigmaStar的软件源代码储存于一台经SigmaStar事先同意之「被授权人」服务器中，并应以「被授权人」公司内部防火墙予以保护，使防火墙外之他人无法接触之。「被授权人」并仅得允许其有知悉必要并已经SigmaStar事先同意之员工接触此等软件源代码。SigmaStar保有其软件源代码之所有权及其它权利。非经SigmaStar之事前书面同意，「被授权人」不得将此等软件源代码或其复本以任何方式携至或传送至「被授权人」公司外部；3）非经SigmaStar之事前书面同意，「被授权人」不得以任何方式修改或复制SigmaStar软件源代码；4）「被授权人」同意SigmaStar得于「被授权人」营业时间内，派遣代表至「被授权人」公司内部查核「被授权人」是否严格遵守本条之义务；5）「被授权人」就软件源代码所负之保密义务为永久。

7. WARRANTY DISCLAIMER AND LIMITATION OF LIABILITY

无担保声明及责任限制

7.1 LICENSED ITEM IS PROVIDED ON AN “AS-IS” BASIS AND WITH ALL FAULTS AND DEFECTS.  SIGMASTAR, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS, HEREBY, TO THE EXTENT PERMITTED BY APPLICABLE LAWS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, WITH RESPECT TO LICENSED ITEM, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUF OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OR TRADE PRACTICE. SIGMASTAR FURTHER EXPRESSLY DISCLAIMS ANY WARRANTIES THAT THE OPERATION OF LICENSED ITEM WILL BE UNINTERRUPTED OR ERROR FREE. LICENSEE WAIVES ANY CLAIM AGAINST SIGMASTAR FOR ANY LOSS, DAMAGE, COST OR EXPENSE THAT LICENSEE MAY INCUR RELATED TO LICENSED ITEM.

「授权标的」系以现状提供。于法令许可的范围内，SIGMASTAR兹此代表其自身、其关联企业及有关授权人明示否认对于「授权标的」提供任何明示地、默示地、成文地或其它任何形式的担保，包括但不限于任何关于可商用性、合目的性、有权性、不侵权性或任何于交易过程、履行过程、使用或执行商务行为时可能产生之任何担保均于此明示否认。SIGMASTAR并于此明示否认有对于「授权标的」于使用过程中不会中断或无瑕疵的担保。「被授权人」兹此免除及放弃关于「授权标的」对SIGMASTAR所得主张的任何损失、损害、成本或费用。

7.2 IN NO EVENT SHALL SIGMASTAR AND ITS AFFILIATES, INCLUDING ANY OF ITS OR THEIR RESPECTIVE LICENSORS, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, LOST OR DAMAGED DATA, AND UNAUTHORIZED SYSTEM USE.  IN NO EVENT SHALL SIGMASTAR’S AND ITS AFFILIATES’, INCLUDING ANY OF ITS OR THEIR RESPECTIVE LICENSORS’, AGGREGATIVE LIABILITY RELATED TO LICENSED ITEM OR ANY OBLIGATION UNDRE THIS AGREEMENT, WHETHER ARISING OUF OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED ONE-HUNDRED US DOLLARS (US$100).

于任何情况下，SIGMASTAR及其关联企业(包含其各自的有关授权人)对于任何直接的、间接的、附随的或衍生的损失均不负担任何责任，包括但不限于利润或盈利损失、数据损失及非授权系统使用所造成的损失。于任何情况下，SIGMASTAR及其关联企业(包含其各自的有关授权人)于本协议下或关于「授权标的」的累积最高责任不应超过美金100元，无论该等责任系因违反合约、侵权(包含过失侵权)或其它原因而生者。

8. Export

出口

8.1     The Licensee acknowledge the Licensed Item pursuant to this Agreement may be subject to the export laws and regulations of People's Republic of China (cumulatively, “ExportLaws”). The Licensee agrees that it will not use distribute, export, re-export, transfer,or transmit the Licensed Item (even if incorporated into other items) inviolation of the Export Laws. If requested by SigmaStar, the Licensee agrees to sign written assurances and other export-related documents as may be required for SigmaStar to comply with Export Laws.

「被授权人」已知晓，根据本协议，「授权标的」可能受中华人民共和国出口法律和法规(统称为“出口法律”)的管辖。「被授权人」同意，其将不会违反出口法律，使用分发、出口、再出口、转让或传送「授权标的」(即使包含在其他项目中)。如果SigmaStar要求，「被授权人」同意签署SigmaStar遵守出口法律所需的书面保证和其他出口相关文件。

9. Termination and Survival

终止及存续

9.1     This Agreement and the license granted hereunder shall remain in effect unless terminated as set forth herein.

本协议及本协议下所为之授权应持续有效直至依本协议规定被终止之日止。

9.2    If Licensee breaches any of its obligations under this Agreement and fails to cure such breach within ten (10) days upon SigmaStar’s notification, SigmaStar may terminate this Agreement or any rights granted to Licensee upon written notice to Licensee.  Notwithstanding the above, if the breach is not curable, SigmaStar may immediately terminate this Agreement.

如「被授权人」违反本协议之义务且未于SigmaStar通知之日起10日内改正者，SigmaStar有权以书面终止本协议或本协议下授予「被授权人」之权利。纵有前述约定，如违约行为属于不可能改正者，SigmaStar得立即终止本协议。

9.3    Nothing contained herein shall limit any other remedies that SigmaStar may have for the default of Licensee under this Agreement nor relieve Licensee of any of its obligations incurred prior to any termination of this Agreement.

依本协议所为之终止不会限制SigmaStar对于「被授权人」违约行为所得寻求之其它救济，亦不免除「被授权人」于终止前所生之任何责任。

9.4    In the event Licensee’s developer membership at Website is terminated for any cause, this Agreement shall be automatically terminated as of the termination date of Licensee’s developer membership at Website.

如「被授权人」于「本网站」之开发者会员资格因任何原因终止，本协议应从「被授权人」丧失「本网站」开发者会员资格之日起自动终止。

9.5     Upon termination of this Agreement, the license granted hereunder shall also terminate and Licensee shall promptly cease to use and destroy all copies of Licensed Item.

本协议终止之日起，本协议下之授权应一同终止，「被授权人」应立即停止使用「授权标的」并销毁其所有复印件或复本。

9.6    Notwithstanding the termination of this Agreement, any provisions of this Agreement which by their terms are intended to survive the termination shall so survive and continue in full force and effect.

本协议纵经终止，本协议中依其性质应继续存续之条款仍应持续保持其效力。

10. Miscellaneous

其它

10.1     Licensee shall indemnify and hold harmless SigmaStar, its affiliates, officers and employees from and against any and all claims, allegations, actions, proceeding, settlements, losses, damages, expenses or otherwise caused by,   resulting from or arising in connection with any use of Licensed Item beyond the scope of the licenses granted under this Agreement or Licensee’s breach of this Agreement.

「被授权人」应赔偿并防免SigmaStar、其关联企业、管理人及员工因为「被授权人」超过授权范围使用「授权标的」之行为或违反本协议之行为而遭受或承受任何控诉、主张、行动、程序、和解、损失、损害、费用或其它不利益。

10.2     Nothing contained herein shall be construed as by express, implication, estoppels or otherwise: (a) conferring any license or right to use any SigmaStar’s name, trade name, trademark, service mark, symbol or any other identification or any portion thereof; (b) obligating SigmaStar or any of its affiliates to furnish any Person, including, without limitation, Licensee and its customers, assistance or information of any kind whatsoever; or (c) conferring any license or right under any patent, whether or not the exercise of any right herein granted necessarily employs an invention of any existing or later issued patent (any patent licenses and rights, if appropriate, will be the subject of a separate agreement with SigmaStar).

本协议下之任何规定均不得以明示、默示、禁反言或其它解释方式被解释为：(a) SigmaStar有就其全部或一部之名称、商名、商标、服务标志、服务标志或其它识别记号授予任何使用权；(b) SigmaStar或其关联企业有义务提供任何协助或信息给任何「个体」(包括「被授权人」及其客户)；(c) SigmaStar有给予任何专利授权，无论行使本协议下所取得之授权是否有合理必要使用任何既存的或之后所产生之SigmaStar专利(任何专利授权均应与SigmaStar另行缔结单独的合同予以议定)。

10.3    Each of the parties shall act as, and shall be, independent contractors in all aspects of this Agreement. Neither party will act or have authority to act as an agent for the other party for any purpose whatsoever. Nothing in this Agreement will be deemed to constitute or create a joint venture, partnership, pooling arrangement, or other formal business entity or fiduciary relationship between SigmaStar and Licensee.

各方当事人于本协议下均为独立缔约人。任一方不得且无权为任何目的代表另一方为任何行为。SigmaStar与「被授权人」不因本协议而产生或创建任何合资、合伙、联营或其它正式营运主体或信托关系。

10.4    Nothing in this Agreement shall preclude SigmaStar from seeking provisional remedies, including but not limited to temporary restraining orders and preliminary injunctions, from any court of competent jurisdiction, in order to protect its rights.

SigmaStar不因本协议而被排除向有管辖权法院寻求暂时性救济以保护其合法权利之权利，包括但不限于暂时限制令及先期禁制令。

10.5    Neither this Agreement nor any of Licensee’s rights or obligations hereunder are assignable or transferable by Licensee without the express written consent of SigmaStar, whether voluntarily, involuntarily, by operation of law or otherwise. SigmaStar may freely assign or otherwise transfer all or any of its rights, or delegate or otherwise transfer all or any of its obligations, under this Agreement without Licensee’s consent.

非经SigmaStar明示书面同意，「被授权人」不得转让或移转本协议及其于本协议下之任何权利义务，无论是出于自愿或非自愿，亦无论是因为法令规定或其它原因所造成者。SigmaStar得自由转让或移转其于本协议下之权利及义务而无需取得「被授权人」之同意。

10.6    Neither waiver of the terms and conditions of this Agreement, nor any failure of either party to strictly enforce any term or condition of this Agreement on one or more occasions shall be construed as a waiver of the same or of any other term or condition of this Agreement on any other occasion.

任一方在任何单一或复数情况下对于本协议任何条款所为的免责，不得被解释为其对于嗣后或在其它情况下违反该条款之行为给予免责；任一方在任何单一或复数情况下未严格执行本协议条款的行为，均不得被解释为其对于该次违反行为或在其它情况下违反该条款之行为给予免责。

10.7   This Agreement constitutes the entire understanding and agreement between the parties and supersedes any and all prior agreements, understandings and communications, whether in writing or orally made, between the parties, with respect to the subject matter hereof. In the event that any term or provision contained herein is held invalid or unenforceable in any respect, the remainder of the Agreement shall not be affected thereby and each term and provision hereof shall be valid and enforced to the fullest extent allowed by applicable law.

本协议为双方间之完整合意并取代任何及全部先前双方之间就同一议题所为之任何书面或口头的协议、意向及沟通。如本协议之任何条款或条件被有管辖权机关认定为不合法或无法执行，本协议之其它条款应于有关法令许可的最大范围内被视为合法及可执行而继续有效。

10.8    Neither party shall be liable for default of any obligation hereunder if such default results from force majeure which includes, without limitation, governmental acts or directives, strikes, acts of God, war, insurrection, riot or civil commotion, flooding or water damage, explosions, or embargoes, whether of the kind herein enumerated or otherwise, which are not within the reasonable control of the party affected.

任何因非任一方所得合理控制之不可抗力(包括但不限于政府行动或指导、暴动、天灾、战争、判乱、骚乱或群众运动、水灾或水患、爆炸或禁运，无论其种类为何)所造成之违约行为，该方均无需负担责任。

10.9    This Agreement will be governed by and construed in accordance with the laws of People’s Republic of China, excluding its conflict of law rules. Any dispute arising out of or relating to the Agreement shall be finally settled by arbitration under the arbitration rule of China International Economic and Trade Arbitration Commission (CIETAC) with three (3) arbitrators appointed in accordance with the said rules. The place of the arbitration shall be in Xiamen, China. The language of arbitration shall be Mandarin/ English.

本协议应受中华人民共和国法律管辖及解释，但排除其冲突法则之适用。如因本协议发生争议，双方应本于诚信协商之，协商不成时，双方同意将争议提交中国国际经济贸易仲裁委员会仲裁。仲裁应由依照中国仲裁法及中国仲裁协会仲裁规则所选出之三位仲裁人依照前述法规进行。仲裁地应为中国厦门。仲裁时使用之语言／文字应为中文。
